- Welcome to Razzall.com, the world’s first online Crowd Purchase™ marketplace (the “Website”). Razzall™ operates as a third party platform that facilitates the listing, promotion, Crowd Purchase™, purchase, and sale of items between independent users in a “Crowd Purchase™” format.
- Razzall™ provides a platform through the Website, accessible through www.Razzall.com, which allows users to collectively and as a group purchase items listed by third party users and sellers (“Razz™” or “Razzes™”).
- Anyone who uses this platform, whether to attempt to sell an item listed in a Razz™ or Razzes™ (a “Seller”), to contribute to the Crowd Purchase™ of an item that is listed in a Razz™ or Razzes™ (a “Purchaser”), or otherwise uses the services, applications or tools provided by Razzall™ (collectively referred to as the “Services”), must first accept these terms and conditions (these “Terms”) without change.
- AT THIS TIME, ONLY RESIDENTS OF CANADA AND THE UNITED STATES OF AMERICA WILL BE PERMITTED TO BECOME USERS.
- These Terms constitute a legally binding agreement (“Agreement”) between Users (“You” or “Your”) and Razzall™ Inc. (“Razzall™”, “We”, “Us” or “Our”), governing Your access to and use of the Website and Services.
- By accessing, registering for, logging into, browsing, listing, purchasing, funding, withdrawing, participating in, or otherwise using the Website or Services in any manner whatsoever, You acknowledge that You have read, understood, and agreed to be legally bound by these Terms and the Razzall™ Privacy Policy, which is incorporated into these Terms by reference.
About Razzall™
- Razzall™ is a Crowd Purchase™ marketplace. Razzall™ is not a raffle, lottery, sweepstakes, gaming site, gambling platform, auctioneer, ticket broker, or financial institution.
- Razzall™ acts solely as a third party intermediary technology platform that facilitates transactions between independent Users.
- Razzall™ is not the buyer or seller of any Item unless expressly stated otherwise in writing.
- Razzall™ does not own, possess, inspect, verify, authenticate, endorse, broker, guarantee, or certify Items listed by Sellers unless expressly stated otherwise in writing.
- The Seller is solely responsible for the Item being listed, the legality of the listing, the pricing, shipment, transferability, authenticity, accuracy of descriptions, condition of the Item, and compliance with all applicable laws, rules, regulations, venue restrictions, ticket resale laws, intellectual property laws, tax obligations, licensing requirements, customs requirements, consumer protection laws, and any other legal obligations applicable within their jurisdiction.
- All Sellers and Purchasers are solely responsible for understanding and complying with all laws applicable to them in their own jurisdiction before using Razzall™.
- Razzall™ does not provide legal, financial, tax, regulatory, or investment advice and nothing contained on the Website, in these Terms, or communicated by Razzall™ shall be interpreted as such advice.
- Users are encouraged to seek independent legal counsel to understand their rights, obligations, restrictions, and liabilities before listing, selling, purchasing, transferring, shipping, promoting, or participating in any Razz™ or transaction on the platform.
Account Registration and Eligibility
- Users must be at least eighteen (18) years of age and residents of Canada or the United States of America to create an Account or use the Services.
- Users may maintain only one Account unless expressly authorized by Razzall™ in writing.
- Users agree to provide accurate, current, and complete information during registration and to keep such information updated.
- Users are solely responsible for maintaining the confidentiality of their login credentials and for all activity occurring under their Account.
- Users must immediately notify Razzall™ of any unauthorized use of their Account or any breach of security.
- Razzall™ reserves the right, at its sole discretion, to refuse registration, suspend Accounts, terminate Accounts, freeze Razzall™ Wallet balances, cancel transactions, remove listings, or restrict access to the Services for any reason whatsoever.
Purchase of Razz™ Spots
- The Seller creates a finite number of individual slots (“Razz™ Spots”) with a price attached to each Razz™ Spot in Canadian Dollars. The combined value of all Razz™ Spots represents the intended purchase price for the Item.
- Instead of paying the entire price of the Item, a Purchaser may purchase one or more Razz™ Spots.
- Once all Razz™ Spots have been filled before the listed end time, one Purchaser who purchased one or more Razz™ Spots will be selected through the use of a third party randomization service and become the “Selected Purchaser”.
- A “Selected Purchaser” means a Purchaser who purchased one or more Razz™ Spots and was selected through the official third party randomization process to receive the Item.
- For clarity, a person who uses the Buy It Now option is not a Selected Purchaser. That person is simply a “Purchaser” who has purchased the Item directly through the Buy It Now option.
- The Selected Purchaser will be determined through the use of a third party randomizer (“RNG”), including but not limited to Random.org or another similar service.
Binding Purchase of Razz™ Spots
- By purchasing one or more Razz™ Spots, the Purchaser acknowledges and agrees that they are entering into a legally binding contractual transaction in accordance with these Terms.
- Once a Razz™ Spot is purchased, the purchase is final and the funds used for that Razz™ Spot are non-refundable except where the applicable Razz™ expires, is cancelled, is removed by Razzall™, does not proceed to completion for any reason, or where a refund is otherwise expressly authorized by Razzall™ or required by law.
- Purchasers acknowledge that they are contributing toward the Crowd Purchase™ of the listed Item and agree to be bound by the outcome of the Razz™ and the official third party randomization process.
- Funds used to purchase Razz™ Spots will not be refunded merely because a Purchaser was not selected as the Selected Purchaser.
Buy It Now
- The “Buy It Now” method allows a Purchaser to directly purchase the Item for the posted Buy It Now price.
- Once a Purchaser triggers the Buy It Now option, the Razz™ immediately ends.
- The Purchaser who triggered the Buy It Now option purchases the Item directly and is not considered a Selected Purchaser.
- Amounts paid by other Purchasers for Razz™ Spots will be returned to their respective Razzall™ Wallets.
Randomization Results and RNG Failures
- Only results officially posted to the Razzall™ results page hosted through Random.org or another designated RNG provider will be considered official and binding.
- If there is an error running a randomization through the Random.org API or another designated RNG provider and the result has not been officially posted to the Razzall™ results page, Razzall™ reserves the right to rerun the randomization manually or electronically once the issue is resolved.
- If an email, notification, message, or communication is sent in error containing results that do not appear on the official results page, such communication shall be considered void.
- In the event multiple results are posted, the first officially posted result shall be deemed final and binding.
Seller Obligations and Listing Contracts
- By listing an Item for sale on Razzall™, the Seller acknowledges and agrees that the listing constitutes a legally binding offer to sell the Item in accordance with these Terms.
- Once a Seller’s listing has one or more Razz™ Spots purchased by a Purchaser, the Seller acknowledges and agrees that a legally binding contractual relationship has been initiated between:
- the Seller;
- the Purchasers who purchased one or more Razz™ Spots; and
- Razzall™ as the third party platform facilitating the Crowd Purchase™ transaction.
- Once at least one Razz™ Spot has been purchased, the Seller may not cancel, suspend, remove, delete, alter, withdraw, transfer, relist elsewhere, sell privately, sell through another marketplace, or otherwise make the listed Item unavailable for fulfillment unless expressly authorized by Razzall™ in writing.
- Selling, transferring, or otherwise disposing of a listed Item outside of the Razzall™ platform after one or more Razz™ Spots have been purchased is strictly prohibited and shall constitute a breach of these Terms.
- Sellers are strongly encouraged to list Items only within a timeframe and under conditions that they are fully comfortable honoring and fulfilling.
- Once one or more Razz™ Spots have been purchased, only Razzall™ may approve or process the cancellation, suspension, removal, or termination of the listing.
- If a Seller wishes to request cancellation or removal of a listing after one or more Razz™ Spots have been purchased, the Seller may submit a request to Razzall™ by creating a support ticket at the Razzall™ Support Ticket System.
- Razzall™ reserves the right, at its sole discretion, to approve or deny any such request and makes no guarantee that the request will be honored.
- Sellers acknowledge and agree that once one or more Razz™ Spots have been purchased, they are legally bound by the contractual obligations described in these Terms and may be required to fully complete and honor the transaction.
- Razzall™ may attempt to process cancellation or removal requests in a reasonable timeframe; however, Sellers acknowledge and agree that such requests may take up to 48 hours to review or process.
- If Razzall™ declines the cancellation request, or if the listing proceeds to completion prior to cancellation being approved by Razzall™, the Seller shall remain fully obligated to complete and fulfill the transaction, including fulfillment to a Selected Purchaser or Purchaser who triggers the Buy It Now option.
- Sellers may independently cancel or remove a Razz™ listing through their account only if no Razz™ Spots have been purchased or otherwise claimed by any Purchaser at the time of cancellation.
Fees and Commissions
- Razzall™ currently charges a commission equal to ten percent (10%) of the total successfully completed Razz™ amount, plus applicable taxes calculated only on Razzall™’s commission fee.
- A “successfully completed Razz™” includes any Razz™ completed through randomization or through the Buy It Now option.
- There are currently no listing fees to create or post a Razz™ on the Razzall™ platform.
- Razzall™ reserves the right to introduce, modify, increase, decrease, remove, or implement listing fees, commission fees, withdrawal fees, payment processing fees, inactivity fees, foreign exchange fees, or any other platform related fees at any time.
- Such changes may occur with or without notice and it is the responsibility of Users to regularly review these Terms for updates.
Razzall™ Wallet
- Users may load their Razzall™ Wallet with any amount they choose, subject to any minimums, maximums, fraud prevention rules, payment processing restrictions, or other limitations imposed by Razzall™ or its payment providers.
- Users may use funds in their Razzall™ Wallet to purchase Razz™ Spots or Items.
- Users may also make purchases without first loading their Razzall™ Wallet. In that case, the User will be prompted to enter valid credit card or approved payment information to complete the purchase.
- All Razzall™ Wallet balances, purchases, settlements, refunds, fees, and transactions are processed in Canadian Dollars (“CAD”).
Sign Up Bonuses, Top Ups, Promotions, and Refunds
- Any sign up bonuses, referral bonuses, promotional credits, top up bonuses, free credits, or other promotional amounts added to a User’s Razzall™ Wallet are promotional in nature only and are not redeemable, refundable, transferable, withdrawable, or exchangeable for cash.
- In the event that a Razz™ expires, is cancelled, or does not complete, and a Purchaser requests a refund from their Razzall™ Wallet, Razzall™ will attempt to refund the original payment method used for the transaction provided that:
- the refund amount requested is equal to or less than the original charged amount; and
- the original payment method remains valid and capable of accepting refunds.
- If the original payment method cannot be refunded, Razzall™ may, at its sole discretion, provide the refund through another reasonable method or maintain the balance within the User’s Razzall™ Wallet.
Seller Withdrawals
- Sellers may request withdrawals from their Razzall™ Wallet using one or more methods approved by Razzall™ from time to time.
- Withdrawal methods may include:
- mailed cheque;
- Interac e-Transfer® where permitted;
- PayPal™;
- wire transfer; or
- other methods approved by Razzall™.
- Razzall™ reserves the right to request identity verification, proof of ownership, banking documentation, tax documentation, government issued identification, or other information prior to approving any withdrawal request.
- Razzall™ reserves the right to place temporary holds on withdrawals for fraud prevention, risk management, chargeback prevention, compliance reviews, legal concerns, or operational reasons.
Currency and Foreign Exchange
- All transactions conducted through the Razzall™ platform are processed and settled in Canadian Dollars (CAD).
- Any currency conversion figures displayed on Razzall.com, including through dropdown menus, selectors, calculators, or informational displays, are approximate only and do not represent guaranteed exchange rates.
- Displayed conversions may differ from actual credit card, banking, payment processor, or financial institution exchange rates at the time of processing.
- Users acknowledge that they may incur additional foreign exchange charges, foreign transaction fees, banking charges, conversion fees, or other charges imposed by third party financial institutions or payment providers.
- In the event a Seller requests settlement in United States Dollars (USD), Razzall™ may, at its sole discretion, settle the Seller in USD using:
- the applicable PayPal™ foreign exchange conversion rate in effect at the time of settlement; or
- generally available daily foreign exchange rates publicly displayed through sources such as Google Finance or similar publicly available financial information providers.
- Razzall™ is not responsible for fluctuations in exchange rates or for differences between approximate displayed exchange rates and actual charged amounts.
Account Suspension, Fraud, and Chargebacks
- Razzall™ reserves the right, at its sole discretion, to suspend, freeze, restrict, terminate, or permanently ban any Account, listing, transaction, withdrawal, Razzall™ Wallet, or User activity at any time for any reason including but not limited to:
- suspected fraud;
- suspicious activity;
- payment disputes or chargebacks;
- abuse of promotions or bonuses;
- violation of these Terms;
- attempts to circumvent platform rules;
- legal or regulatory concerns; or
- conduct deemed harmful to Razzall™, its Users, or the operation of the platform.
- Users agree that fraudulent chargebacks, payment reversals, or unauthorized payment disputes relating to valid purchases may result in immediate suspension or termination of the User’s Account and possible legal action or collections activity.
Ticket Resale and Applicable Laws
- Razzall™ operates as a third party intermediary platform and resale marketplace for certain ticketed events.
- Sellers are solely responsible for ensuring that their ticket listings comply with all applicable laws, regulations, venue rules, transfer restrictions, licensing rules, ticket resale laws, and pricing restrictions applicable within their jurisdiction.
- Razzall™ does not advise, encourage, endorse, or permit Users to violate any law relating to ticket resale or pricing restrictions.
- Users acknowledge that laws relating to ticket resale, including laws regarding resale pricing above face value, vary by jurisdiction and may change over time.
- In jurisdictions where resale restrictions or pricing limitations exist, including but not limited to Ontario, Canada, Sellers and Purchasers are solely responsible for understanding and complying with those laws.
- Razzall™ reserves the right to reject, remove, suspend, refuse, edit, or cancel any listing, Item, Seller, Purchaser, or transaction for any reason whatsoever including legal, regulatory, fraud, reputational, operational, or consumer protection concerns.
- Razzall™ may provide information regarding listings, Sellers, Purchasers, transactions, communications, payment activity, IP addresses, or related activity to regulators, courts, tribunals, governing bodies, law enforcement agencies, or governmental authorities where required by law, court order, subpoena, or other lawful request.
- Razzall™ will only disclose such information to the extent required or permitted by law.
Crowd Purchase™ Format Disclaimer
- It is Razzall™’s opinion that in a Crowd Purchase™ or “Razz™” format, individual Purchasers are paying only for the cost of the Razz™ Spot or Spots they personally purchased and are not necessarily paying above face value for an Item itself.
- However, this is solely Razzall™’s opinion and interpretation and should not be interpreted, relied upon, or considered as legal advice, legal authority, legal precedent, or a statement of law.
- Applicable laws may differ by jurisdiction and may be interpreted differently by courts, regulators, governing bodies, or enforcement agencies.
- All Users are solely responsible for obtaining independent legal advice regarding their rights, obligations, restrictions, and liabilities before participating in any Razz™ or transaction on the platform.
Intellectual Property and Content
- Sellers represent and warrant that they own or possess all necessary rights, permissions, licenses, approvals, and authority to use, display, list, advertise, upload, transfer, and sell any Item, image, logo, trademark, photograph, likeness, text, or other content posted to the platform.
- Sellers agree not to infringe upon any copyright, trademark, publicity right, intellectual property right, or proprietary right of any third party.
- Razzall™ reserves the right to remove, suspend, edit, reject, or disable any listing or content that may infringe upon the rights of any third party.
- Users agree to indemnify and hold Razzall™ harmless from any claims, damages, liabilities, losses, costs, or expenses arising from intellectual property infringement or unauthorized content posted by the User.
Taxes
- Users are solely responsible for determining, reporting, collecting, remitting, and paying any taxes, duties, tariffs, customs fees, import/export charges, or governmental charges arising from their use of the platform including the sale, purchase, shipment, transfer, or import/export of any Item.
Technical Failures and Force Majeure
- Razzall™ shall not be liable for any delay, interruption, outage, server failure, inability to access the Website or Services, lost data, failed transactions, delayed notifications, payment processor failures, API interruptions, RNG failures, cyber attacks, shipping delays, carrier interruptions, acts of God, natural disasters, labor disruptions, internet failures, power failures, governmental actions, or any other event beyond Razzall™’s reasonable control.
Limitation of Liability
- Razzall™ merely provides a technology platform to facilitate transactions between Users in a Crowd Purchase™ format.
- Razzall™ is not responsible for:
- the legality of Items listed by Sellers;
- compliance by Sellers or Purchasers with applicable laws;
- ticket resale compliance;
- transfer restrictions;
- pricing restrictions;
- venue rules;
- shipping issues;
- customs issues;
- duties or import/export restrictions;
- fraud by Users;
- the quality, authenticity, legality, condition, or safety of any Item;
- the actions or omissions of any User;
- the failure of any Seller or Purchaser to complete a transaction; or
- the actions of third party payment processors, carriers, RNG providers, or other service providers.
- To the fullest extent permitted by law, Users agree not to hold Razzall™ liable for any direct, indirect, incidental, consequential, punitive, special, or exemplary damages arising from use of the Website or Services.
Privacy and Communications
- By creating an Account, using the Website, participating in a Razz™, purchasing a Razz™ Spot, using a Razzall™ Wallet, purchasing an Item, or otherwise using the Services, You consent to Razzall™ collecting, using, storing, disclosing, and processing Your information in accordance with the Razzall™ Privacy Policy.
- You further consent to receive communications from Razzall™ including account notices, transactional messages, marketing emails, SMS messages, promotional communications, support communications, Razz™ updates, platform updates, app notifications, telephone calls, and other communications relating to Your use of the Services.
- You may opt out of marketing communications where an opt out method is provided.
- Transactional, legal, payment, security, support, or account related communications may still be sent where necessary.
- If You continue to receive marketing communications after opting out, You should contact support@razzall.com or create a support ticket at the Razzall™ Support Ticket System.
Changes to Terms
- Razzall™ may change, amend, replace, add to, remove, modify, or update these Terms at any time and without prior notice.
- It is solely the responsibility of each User to review these Terms regularly and prior to each use of the Website or Services.
- Continued use of Razzall™, participation in any Razz™, purchase of any Razz™ Spot, use of a Razzall™ Wallet, or use of any Services after any modification to these Terms constitutes full acceptance of the revised Terms.
- If You do not agree with any revised Terms, You must immediately stop using Razzall™ and its Services.
Governing Law
- These Terms shall be governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein.
- Any dispute relating to these Terms, the Website, or the Services shall be brought exclusively before the courts located in Toronto, Ontario, Canada.
